ASAP DATA SYSTEMS LLC may, in its sole discretion and without any notice to you, change or modify any of the terms or conditions of this Agreement that will be effective upon posting on this website. Your continued use of this website after the changes to this Agreement are posted constitutes your acceptance of the amended terms and conditions.
This website and the products and services offered by this website are only available to those who can form binding contracts under applicable law. You represent and warrant that “You” are eligible to form a binding contract on your own behalf and on behalf of any individual or entity for whom you are accessing this website. You must be over the age of eighteen (18) to access or use any of the tools, functions, and services offered to You by this website, to subscribe to any service, purchase any product or service, and view any text or graphics on this website.
Services may be purchased on a fee-for- service basis or on a subscription basis. In order to access services, you must submit a service order through the ASAP DATA SYSTEMS LLC portal or by calling ASAP DATA SYSTEMS LLC. The ASAP DATA SYSTEMS LLC personnel will then confirm whether the requested service is related to the registered computer or otherwise covered by the Service Plan, and send an e-mail to the registered e-mail address with instructions for obtaining service.
The service performed or accessed on a fee-for-service basis will address a single issue or problem reported, on your personal computer. For services performed on a subscription basis, you will be entitled to the service of issues or problems that fall within the Scope of Services set forth below, for a specified period of time.
ASAP DATA SYSTEMS LLC will act in all commercially reasonable ways to establish the nature of the problem(s) or issue(s) on a registered computer for a registered user and to locate, analyze and fix those errors, problems or issues, including the following:
1 :- Removal of viruses.
2 :- Computer and printer software solution.
Service Plans do not include services for any of the following:
Any type of hardware support, replacement problems or issues for which service was not requested during the time period of the Service Plan, problems or issues that may not be resolved due to physical damage to your computer or other peripherals, or configuration that is beyond our control, problems or issues with software, including the operating system and software added to the registered hardware products.
We also do not cover support services for problems resulting from:
1 :- External causes such as accident, abuse, misuse, or problems with electrical power;
2 :- Usage that is not in accordance with product instructions provided by the product manufacturer;
3 :- Usage of accessories, parts, or components that are not compatible with the product;
4 :- Non-Compliance with the ASAP DATA SYSTEMS LLC engineers instructions for resolving the problem;
5 :- Malfunction of hardware such as power supply, memory, processor, monitor or any other such hardware components;
6 :- Failure to follow the product instructions provided by the manufacturer or failure to perform preventive maintenance.
ASAP DATA SYSTEMS LLC may, but has no obligation to, monitor and record the service session, including telephone calls and online sessions for purposes of improving customer service, internal training, and internal market research. You hereby grant permission to ASAP DATA SYSTEMS LLC to monitor and record the services and to use or disclose any information related to you as necessary or appropriate to satisfy any law, regulation or other governmental requests; to provide the services to you or other users; to protect ourselves and/or other users; and to enhance the types of services we may provide to you in the future. You also grant ASAP DATA SYSTEMS LLC permission to combine your information with that of others in a way that does not identify you or any individual personally, for improving our services, for training, marketing, and promotional purposes, and for other business purposes.
In order to receive services to a registered computer, the registered computer must be connected to the Internet via a broadband or high-speed connection to receive services instantly, throughout the whole time the service is rendered. You must also have registered valid software of MS Windows 2000 or XP, or any latest version, installed as your system’s operating software during all service periods. Your computer must be connected and operating while ASAP DATA SYSTEMS LLC is conducting repair, diagnosis, or downloading software or otherwise installing repair-related materials. You must allow us to download and install recommended software on your PC (including software that will require you to pay a licensing fee if ample freeware is not available),and you also will be responsible for all licensing fees and registrations for the same. You also agree that we may remove any software that is creating conflicts or is otherwise determined by us to be harmful or otherwise disruptive to the appropriate efficiency or working of your computer. We will endeavor to gain your prior approval before we install software or delete software, but you agree that we may install and/or delete software at our sole discretion without your prior approval if we deem it, in our exclusive discretion, in order to be necessary to perform the services uninterruptedly. You agree to hold us harmless from any loss/failure of any type relating to our installation and/or deletion of software on your computer.
If you have MS Vista installed on your computer, you may be required to disable your User Account Control (UAC). If you do render inoperative UAC, you understand that your computer may be vulnerable to malware and other harmful programs and scripts during the short period when we are accessing your computer. You also agree to hold us harmless from any failure and/or losses of any sort arising from this susceptibility of your computer due to temporary disabling of your UAC or your failure to correctly and promptly re-establish your UAC protections. You agree to promptly reactivate your UAC as instructed by us when we expire our access to your computer.
ASAP DATA SYSTEMS LLC shall not be responsible for any failure occurred due to unforeseen circumstances or due to causes beyond ASAP DATA SYSTEMS LLC's reasonable control, including but not limited to acts of God, war, riot, embargoes, acts of civil or military authorities, fire, floods, accidents, a large scale outbreak of a new computer virus, strikes, lockouts, or shortages of transportation, facilities, fuel, energy, labor or materials. You hereby release ASAP DATA SYSTEMS LLC from any and all liabilities and agree that ASAP DATA SYSTEMS LLC shall not be liable to you or any third party for any direct or indirect damages whatsoever, including any refund of Service Plan, resulting from such delays. ASAP DATA SYSTEMS LLC or its suppliers may, at any time, without notice or liability, restrict the use of the services or limit its time of availability in order to perform maintenance activities.
All subscription-based service plans purchased on this website (“Service Plans”) are subject to termination or cancellation by ASAP DATA SYSTEMS LLC, at any time without prior notice. In the event of such termination or cancellation, a refund for the time remaining on such Service Plans will be refunded to you, on a pro-rata basis, through cheque sent to you within 30 days of such modification, termination or cancellation. ASAP DATA SYSTEMS LLC reserves the right to modify or enhance the procedures and/or features of its Service Plans to improve the quality of service, without prior notice to you.
ASunworld Soft reserves all rights to refuse, suspend or terminate service to any user for any reason we deem to do so, in our sole discretion, without any prior notice; for example, if we suspect that you are using a computer system in an improper or illegal manner. In the event of such refusal or termination, a refund for the time remaining on such Service Plans will be refunded to you, on a pro-rata basis, through cheque sent to you within 30 days of such modification, termination or cancellation.
“Software” means a computer program of any kind, whether owned by or licensed to ASAP DATA SYSTEMS LLC or any third party, or delivered via download, CD, other media, or other delivery methods, including client and/or network security software. You thereby acknowledge that all Software available on or through this website, and all text, code, graphics, features and elements thereof are protected by copyright, against secret trade and unfair competition, and other lSWS. Copying, distribution, and use of any content displayed on this website, except pursuant to the license as set forth herein, is strictly prohibited.
ASAP DATA SYSTEMS LLC or its licensor or suppliers retains ownership of all proprietary rights of the services, this website, and of all trade names, trademarks and service marks associated or displayed within the services. To the extent that we provide technical assistance and support for Third Party Software or equipment, you must ensure that you comply with the terms and conditions under which you licensed such Third Party Software or purchased such equipment. It is your sole responsibility to mention all the details regarding third party software for us to provide such support and for you to acquire such rights. You agree to indemnify, defend, and hold ASAP DATA SYSTEMS LLC, its subsidiaries, affiliates, officers, directors, employees, agents, licensors, consultants, suppliers, and any third- party providers harmlessly from and against all claims, demands, actions, liabilities, losses, expenses, damages, and costs, including attorneys’ fees, resulting from your violation of the material terms of this Terms of Service Agreement, any misuse or abuse of a service, or any use of the service that amounts to infringement. You agree immediately to notify ASAP DATA SYSTEMS LLC of any unauthorized use of your account or any other breach of security known to you.
If any terms, provision or portion of this Agreement is held invalid or unenforceable by any court of competent jurisdiction, that term, provision or portion shall be enforced to the maximum extent possible, and all other terms and provisions contained in this Agreement shall remain in full force and effect. ASAP DATA SYSTEMS LLC’s failure to enforce any provision of this Agreement shall not be deemed as a waiver of such provision, nor of the right to enforce such provision.
ASAP DATA SYSTEMS LLC makes no representation or warranty that the content available on this website or the services are appropriate in every country or jurisdiction, and access to this website or the services from countries or jurisdictions where its content is illegal is prohibited. You are responsible for compliance with all local lSWS, rules and regulations.
This Agreement constitutes the entire agreement between you and ASAP DATA SYSTEMS LLC and governs your use of the services and Service Plans, superseding any prior version of this Agreement. eMinor Incorporated d/b/a ASAP DATA SYSTEMS LLC (together with its affiliates, successors, and assigns, hereinafter referred to as “ASAP DATA SYSTEMS LLC ”, “OUR”, “WE”, or “US”) have adopted this Abuse Policy (the “Abuse Policy”). The Abuse Policy applies to the website www.asapdatallc.com (the “Site”) to address claims of abuse.

If you believe the content or behavior you are reporting is prohibited in your local jurisdiction, please contact your local authorities so they can accurately assess the content or behavior for possible violations of local law. If ASAP DATA SYSTEMS LLC is contacted directly by law enforcement, we can work with them and provide assistance for their investigation.

WHEN TO REPORT ABUSE
Simply because a user disagrees with or receives unwanted communication, such behavior does not necessarily constitute online abuse. Only if two users are mutual fans of each other can they send and receive direct messages to each other. If a user sees a comment on their profile or receives a message the user does not like, then the user should simply take the above-mentioned steps to end any communication with that user.
Abusive users often lose interest once they realize that you will not respond. If the user in question is a friend, try addressing the issue offline. If you have had a misunderstanding, it may be possible to clear the matter up face to face or with the help of a trusted individual.

REPORTING ABUSE POLICY VIOLATIONS

ASAP DATA SYSTEMS LLC. (“ASAP DATA SYSTEMS LLC”) may, in its sole discretion, disable and/or terminate use by users who infringe the intellectual property of others.
If you believe that your work has been copied in a way that constitutes copyright infringement, or that your intellectual property rights have been otherwise violated, please provide a Notice to the ASAP DATA SYSTEMS LLC Designated Agent at [email protected], with the following text in the subject line: “ASAP DATA SYSTEMS LLC DMCA,” and containing the following information:

If you created or posted any content that you believe was removed (or to which access was disabled) due to an allegation of copyright infringement and you believe the content is not infringing or that you have authorization from the copyright owner, the copyright owner’s agent, or pursuant to the law, to post and use the content, you may send a counter-notice containing the following information to the Designated Agent:
(i) your physical or electronic signature; (ii) identification of the content that has been removed or to which access has been disabled and the location at which the content appeared before it was removed or disabled; (iii) a statement that you have a good faith belief that the content was removed or disabled as a result of mistake or a misidentification of the content; and (iv) your name, address, telephone number, and e-mail address, a statement that you consent to the jurisdiction of the federal court in New York, New York, and a statement that you will accept service of process from the person who provided notification of the alleged infringement.
